Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Yluminate website, query console, data, and related services (the “Service”), operated by FranReal LLC(“Yluminate”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and your account

The Service is for business use. You must be at least 18 and able to form a binding contract. If you use the Service on behalf of an entity, you represent that you are authorised to bind it to these Terms. You are responsible for keeping your credentials secure and for all activity under your account. Tell us promptly at support@franreal.com if you believe your account has been compromised. Accounts are for a single user and may not be shared.

2. Credits, pricing and payment

  • The Service is sold as prepaid credits. Credits are consumed when you run a query and when you export rows of results.
  • Queries are priced at a fixed amount per query plus the compute that query consumes. On a typical question the compute is a few cents. A question requiring substantially more computation costs proportionately more, and the price charged is shown with the result.
  • Exports are priced per row, and rows containing individual contact information are priced higher than brand-level rows. The rate that applies is the one shown at the time you export.
  • Credits are non-refundable except where a refund is required by law. They have no cash value and are not transferable.
  • We may change pricing prospectively. Changes do not affect credits you have already purchased.

3. What the Service is — and is not

Yluminate makes information drawn from publicly filed Franchise Disclosure Documents (“FDDs”) and related public sources queryable. It is a research tool.

We are not a franchise broker, franchise seller, business broker, lawyer, accountant, or investment adviser, and nothing in the Service is legal, tax, financial, or investment advice, an offer to sell a franchise, or a recommendation to enter any transaction. Always verify against the filed FDD and take professional advice before acting.

4. Accuracy of the data

The corpus is assembled by automated extraction from third-party documents. It will contain errors, gaps, and stale entries. FDDs are amended and superseded, and a document in the corpus may no longer be the operative one. Where the Service reports a value as undisclosed, that reflects the source document, not a zero.

The Service is provided as is. We do not warrant that the data is accurate, complete, current, or fit for any particular purpose. Citations to a page of an FDD are provided so you can verify the underlying source yourself, and you are responsible for doing so before relying on anything.

5. Your licence to exported data

Subject to these Terms and payment, we grant you a limited, non-exclusive, non-transferable licence to use data you export for your own internal business purposes. You may not:

  • resell, sublicense, publish, or otherwise redistribute the data, in whole or in part;
  • use it to build, train, or enrich a competing dataset or product;
  • circumvent per-row pricing — including by automated or repeated querying — to obtain in bulk what is sold by the row; or
  • remove or obscure attribution or source citations.

6. Contact information: your obligations

Some rows contain personal information about identifiable people, including franchise owners. If you export or use that information, you are the controller of it from that point and you agree that:

  • you have an independent lawful basis for your use of it, and you will not rely on us for one;
  • you will comply with all applicable laws governing its use, including CAN-SPAM, the TCPA, state anti-spam and telemarketing laws, the CCPA/CPRA and other state privacy laws, and, where applicable, the UK/EU GDPR;
  • you will honour opt-out, deletion, and do-not-contact requests you receive, and maintain suppression lists;
  • you will not use it for harassment, for unsolicited bulk messaging that applicable law prohibits, for credit, employment, housing, or insurance decisions, or for any discriminatory or unlawful purpose; and
  • you will not represent that an individual endorses or is affiliated with you.

These obligations survive termination for as long as you hold the data.

7. Acceptable use of the Service

You agree not to:

  • attempt to reach data or database schemas the Service does not expose to you, or to defeat the query guard, role restrictions, or rate limits;
  • probe, scan, or test the vulnerability of the Service, or interfere with its operation;
  • scrape the Service or access it other than through the interfaces we provide; or
  • share your account, or resell access to it.

8. Our intellectual property

The Service — including the software, the query engine, the structure and organisation of the corpus, and our marks — belongs to us or our licensors. Underlying FDDs are public filings and remain the property of their respective owners; our rights are in the compilation and presentation, not in the source documents.

9. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if we are required to by law, or to protect the Service or third parties. Where practical we will give notice. On termination for cause, unused credits are forfeited; otherwise we will refund unused credits at our discretion. Sections 4 through 8 and 10 through 13 survive.

10. Disclaimers

To the fullest extent permitted by law, the Service and all data are provided as is and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity. Our total liability arising out of or relating to the Service is limited to the amounts you paid us in the three months preceding the event giving rise to the claim. These limits do not apply to your obligations under section 6 or section 12.

12. Indemnity

You will indemnify and hold harmless FranReal LLC and its officers, employees, and agents against claims, damages, penalties, and reasonable legal costs arising out of your use of the Service or of data you export — in particular any claim brought by an individual, or any regulatory action, relating to your use of contact information.

13. Changes

We may modify the Service or these Terms. If we make a material change to the Terms we will update the date above and give reasonable notice. Continued use after the change takes effect is acceptance. If you do not accept, stop using the Service and contact us about unused credits.

14. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws rules, and the state and federal courts located in Arizona have exclusive jurisdiction. If any provision is unenforceable, the rest remains in effect.
